Virtual card terms and conditions

Preamble

These terms and conditions (hereinafter referred to as "terms") are legally binding and govern the relationship between you (the "cardholder" or "you") and Centiward B.V., a company incorporated under the laws of The Netherlands, with its registered office at Essenstraat 1, 5616 LG Eindhoven, The Netherlands (hereinafter referred to as "Centiward ", "we", "us", or "our"), regarding your participation in and use of any virtual card program (the "Program").

1. Program overview

The Program provides eligible participants with virtual payment cards (the "card") for conducting transactions online. These cards are issued by partnering banks, subject to these terms and any additional terms set forth by the issuing banks. Cards may be issued under various payment networks including, but not limited to, Visa, Mastercard, American Express, and UnionPay.

2. Eligibility and KYC requirements

To participate in the program, you must be at least 18 years of age and reside in a jurisdiction where the program is available. Different card programs may have varying know your customer (KYC) requirements:

• Simplified KYC: Some card programs may offer basic functionality with simplified verification up to certain transaction and balance limits
• Full KYC: Certain card programs or higher transaction limits may require complete identity verification and additional documentation
• Enhanced due diligence: Some jurisdictions or usage patterns may require additional verification steps

Cenitward reserves the right to verify your eligibility at any time and to refuse participation at its discretion. The specific KYC requirements for each program will be clearly communicated during the application process.

3. Card issuance and activation

Cards are issued by Cenitward's partner banks, which may vary by program and region. These banks are licensed for card issuance in their respective jurisdictions.

Upon issuance, cards are activated for a specified period. Cardholders may extend this activation period under the conditions specified on the website.

4. Card expiry and balance forfeiture

All virtual cards issued under the program are valid for a maximum of 12 months from the date of issuance, unless otherwise specified. After this period, the card will automatically expire and become inactive. Any remaining balance on the expired card will be deducted and can no longer be accessed. Cardholders are responsible for monitoring the expiration date and using the funds before expiry.

5. Card loading and transaction limits

Loading limits

• Some cards may be reloadable, subject to program-specific terms
• Daily, weekly, monthly, and annual loading limits may apply
• Loading limits may vary based on KYC level and card program
• All applicable limits will be displayed on the website during relevant transactions

Transaction limits

• Minimum and maximum transaction amounts apply
• Limits may vary by card program and KYC level
• Multiple declined transactions may result in temporary card suspension
• After 10 consecutive declined transactions, your card may be frozen or suspended by the issuing bank due to regulatory requirements

6. Card use restrictions

• Cards must not be used for transactions exceeding the loaded balance
• Use of cards in countries designated by the financial action task force (FATF) as non-cooperative in the fight against money laundering and terrorist financing is prohibited
• Specific merchant category restrictions may apply based on the card program

7. Account and card suspension

In the event of:

• A breach of these terms
• Fraudulent activities
• Excessive declined transactions
• Regulatory requirements
• Request by our partner banks

Cenitward reserves the right to suspend your account and any associated Cards. Notification of such suspension will be communicated via email.

8. Fees and charges

All applicable fees and charges are clearly displayed on the website at each relevant step of the customer journey. These fees may include, but are not limited to, activation fees, reload fees, and card generation fees. Please refer to the website for current fee information.

9. Modification of terms

Cenitward reserves the right to modify these terms at any time without prior notice. Such modifications will be effective immediately upon posting on our website or notification to you.

10. Governing law and dispute resolution

These terms shall be governed by and construed in accordance with the laws of The Netherlands.

Any disputes arising out of or in connection with these terms shall be submitted to the exclusive jurisdiction of the Rechtbank Oost-Brabant.

11. Limitation of liability

Cenitward and its partner banks shall not be liable for losses incurred due to unauthorized use of the card, provided that the cardholder has taken reasonable measures to protect the card details.

12. General card conditions

• The balance on any card is not refundable
• Cardholders may assign nicknames to cards for identification purposes within their Rewarble account
• All Cards are subject to the terms and conditions of their respective issuing banks and payment networks
• Transaction monitoring systems may automatically flag and temporarily suspend cards based on suspicious activity patterns
