About Rewarble

Rewarble is a rewards and incentive fulfilment platform operated by Centiward B.V. Businesses use Rewarble to run their own reward and incentive programmes and to make rewards available to the individuals they choose. A Recipient can redeem a Reward Grant on Rewarble and choose how to receive it, for example, as a digital code, a Reward Card, or a subscription.

These Terms govern your use of the Service as a recipient of rewards made available to you, including when you redeem a Reward Grant and choose how to receive it. The defined terms used in these Terms are explained below.

Definitions

“Company”, “we”, “us”, or “our” refers to Centiward B.V., the entity that operates the Rewarble Service.

“Rewarble” refers to the online platform managed by the Company, through which Recipients redeem Reward Grants.

“Reward Grant” means a code or link issued by the Company and distributed through its authorised channels, which can be redeemed on Rewarble for an Entitlement that may then be used to acquire a Reward Option through the Service.

“Entitlement”, or “Reward Entitlement” means the right a Recipient obtains upon redemption of a Reward Grant to acquire Reward Options through the Service. An Entitlement carries a value that is used only to determine which Reward Options are available to the Recipient.

“Reward Option” means any item or service available through the Rewarble catalogue, including digital reward codes, subscription and gaming credit, Reward Cards, and a Reward Trade-In.

“Reward Card” means a prepaid card made available as a Reward Option, issued through the Company’s regulated partner banks under a prepaid incentive and rewards programme and intended for online merchant spending.

“Reward Trade-In” means a Reward Option under which the Company buys back your Entitlement, in whole or in part, and pays you the agreed amount, less the applicable fee, through its regulated payment partners.

“Service” encompasses all services provided by Rewarble, including Reward Grant redemption, fulfilment of Reward Options, profile management, and customer support.

“Recipient” or “you” means any individual or entity that redeems a Reward Grant and uses the Service.

“Profile” refers to a Recipient’s registered access to the Service, created upon redemption, through which they select and receive Reward Options.

Acceptance of terms

Please read these Terms and Conditions (“Terms”) carefully before using the Rewarble website. By accessing or using the Service, you agree to be bound by these Terms, as updated from time to time, which then describe our contractual relationship. If you do not agree to these Terms, you are not entitled to use the Service.

Eligibility

If you are an individual, you must be at least 18 years old, or the legal age of majority in your jurisdiction if that is higher, to use the Service. By using the Service, you represent and warrant that you meet this requirement, that you are not located in a prohibited or sanctioned jurisdiction, and that you are not subject to any applicable sanctions list. The Service is not available in certain territories, and we may refuse, restrict, or withdraw access where required by law or our risk policies.

Profiles and redemption

To redeem a Reward Grant, you must provide a valid email address and any other information we request, which creates a Profile through which you select and receive Reward Options. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your Profile and for all activity that occurs under it. The Company employs secure access mechanisms, but safeguarding your access credentials is your responsibility. One person may hold only one Profile unless we agree otherwise in writing. You may close your Profile at any time. If an Entitlement remains, you should first choose a Reward Option or a Reward Trade-In, since any Entitlement remaining at closure can no longer be used.

Reward Grants and redemption

Reward Grants can be redeemed on Rewarble for a specified value, which becomes your Entitlement. Upon redemption, that value can be used to acquire Reward Options through the Service.

Reward Grant validity: Reward Grants are valid for 24 months from the date of issuance unless a different period is stated at issuance. An expired Reward Grant cannot be redeemed, and its value is forfeited and will not be refunded or reinstated.

Single use: each Reward Grant may be redeemed once. We may decline to redeem, or reverse the redemption of, any Reward Grant that we determine to be invalid, duplicated, fraudulently obtained, charged back, or issued in error.

The Rewarble Entitlement

An Entitlement is a right to acquire Reward Options through the Service. It is not money held for you, is not a bank deposit, does not earn interest, and is not a payment account, and it cannot be exchanged for cash other than through a Reward Trade-In, as described below. The value carried by an Entitlement is used only to determine which Reward Options are available to you. The value you can realise depends on the Reward Option you choose and the fees that apply, which are shown at the relevant step of the customer journey, and will be less than the nominal value of the Entitlement. An Entitlement has no value outside the Rewarble platform and cannot be moved to another Recipient.

Reward Options and fees

Reward Options are acquired by applying your Entitlement through the catalogue. Where you choose a Reward Trade-In, the Company buys back your Entitlement, in whole or in part, and pays you the agreed amount, less the applicable fee, through its regulated payment partners.

All Reward Options are subject to fees. The fees, limits, supported countries, and supported currencies that apply are displayed on the Rewarble website and at the relevant step of each transaction, and may be updated from time to time. Rewarble arranges the Reward Options, and the underlying products and payments are provided by the regulated, licensed payment partners and card issuers that we work with. The availability, processing times, limits, and fees depend on the relevant partner and your chosen destination. Fulfilment times may vary, and we are not responsible for delays outside our control. You authorise us to apply any applicable fees, and to recover any amount you owe us (including reversed, charged-back, or fraudulently obtained value, and any resulting shortfall), to your Entitlement, reducing it accordingly.

Verification, AML, and sanctions

The Company operates an anti-money-laundering and counter-fraud programme and screens Recipients against applicable sanctions and politically-exposed-person lists. As part of our legal obligations and our fraud and risk policies, we may, at our discretion and at any time during the relationship, require you to verify your identity or provide additional information or documentation. This may include proof of identity, proof of address, and proof of how you obtained, or the origin of, the Reward Grants you have redeemed or wish to redeem. Until any such verification or request is completed to our satisfaction, we may block the Entitlement in your Profile, withhold or delay redemptions or Reward Trade-Ins, or refuse a transaction. You agree to cooperate with these requests and to provide accurate and complete information.

Profile suspension, limitation, and security measures

We may suspend, freeze, limit, or close your Profile, and suspend any associated Reward Cards or pending transactions, at any time where we suspect fraud, abuse, or breach of these Terms, where required by law or by a regulator or partner, or where necessary to protect the Service or other Recipients. Where practical, we will tell you, but we may act first and explain afterwards where fraud prevention, security, or legal obligations require it.

During a suspension or investigation, the Entitlement in your Profile is frozen, not forfeited, and not released until the matter is resolved. Where we determine that a Reward Grant was obtained fraudulently, that value derives from an invalid or charged-back Reward Grant, or that these Terms were breached, we may withhold, reverse, or recover the value of any affected Reward Grant or transaction, including by deactivating affected Reward Grants or debiting the Entitlement in your Profile.

Profile inactivity fee

To encourage active use of the Service and to manage dormant Profiles, the Company applies an inactivity fee to Profiles that hold a positive Entitlement and that have not had a Reward Grant redemption for at least 6 months. The inactivity period is measured from your most recent Reward Grant redemption, not from other activity.

The inactivity fee currently consists of a flat fee of 1 EUR plus 5 percent of the then current Entitlement, applied monthly, starting after the initial 6-month period of inactivity. The applicable fee may be updated from time to time, and where a fee is shown on the Rewarble website, the fee shown there applies. The fee is always capped at your available Entitlement and will not take it below zero.

Before the first inactivity fee is applied, we will send you a reminder notifying you of the remaining Entitlement so that you can use it. You can avoid these fees by redeeming a Reward Grant or by using the Entitlement before the 6-month period elapses. Fees stop when the Entitlement reaches zero or when you resume activity. You can reactivate your Profile at any time by redeeming a Reward Grant, with no reactivation fee. The Company may modify this inactivity fee policy, and any change will be communicated and reflected in these Terms.

Reward Cards

Overview

A Reward Card is a prepaid card made available as a Reward Option, for conducting transactions with online merchants. Reward Cards are issued through our regulated partner banks under a prepaid incentive and rewards programme, subject to these Terms and to any additional terms set by the issuing bank, and run on one or more major card networks. We may offer different Reward Card types with different limits and features, such as a maximum loadable value or availability for use with mobile wallets. The features, limits, and fees of each Reward Card type are shown on the website.

Verification

Higher Reward Card limits, or certain usage patterns or jurisdictions, may require full identity verification or enhanced due diligence. As part of our legal obligations and our fraud and risk policies, we may verify your eligibility, and require identity verification or additional information, at any time, and may suspend or refuse further participation at our discretion.

Issuance and activation

Reward Cards are issued through the Company’s partner banks, which may vary by programme and region and which are licensed for card issuance in their respective jurisdictions. Upon issuance, a Reward Card is activated for a specified period. You may be able to extend this period under the conditions shown on the website.

Validity and expiry

Each Reward Card has a validity period, which is set out on the website and may differ depending on the Reward Card type. The value on a Reward Card must be used within its validity period, and where a date is also shown on the card itself, the validity period on the website is the period that applies. Once the validity period ends, the Reward Card and any remaining value on it can no longer be used. Depending on the Reward Card type, fees may apply to the card, including periodic fees, with these and the other card details, limits, and the validity period shown on the website. Value on a Reward Card does not earn interest and cannot be withdrawn as cash.

Loading and limits

A Reward Card is issued and loaded by the Company for you to spend online, and cannot be funded or topped up from a bank account or from any other source outside the Rewardable platform. Loading limits and transaction limits apply and may vary by card type. A Reward Card cannot be used for transactions that exceed its loaded value. Repeated declined transactions may result in temporary suspension of a card by us or by the issuing bank for regulatory or security reasons.

Use restrictions

A Reward Card is for lawful online purchases only. Certain merchant categories are blocked, including cash access and ATM withdrawals, cryptocurrency, and gambling. Use of a Reward Card in territories designated as high-risk or non-cooperative by the Financial Action Task Force (FATF), or in sanctioned territories, is prohibited. Additional merchant category restrictions may apply depending on the card type.

Authentication

Some transactions may require additional authentication, such as 3-D Secure verification. You are responsible for completing any required authentication and for any transaction you authorise. You must keep your card details secure and must not share them with anyone.

General card conditions

Reward Card value cannot be withdrawn as cash. All Reward Cards are subject to the terms and conditions of their respective issuing banks and card networks. Transaction monitoring systems may automatically flag and temporarily suspend Reward Cards based on suspicious activity patterns.

Acceptable use

You agree to comply with all applicable laws and regulations in your use of the Service. You are responsible for any content you provide through the Service and agree not to transmit any unlawful or objectionable material. You shall not misuse the Service, including by attempting unauthorized access, disrupting the Service for others, circumventing our controls or limits, using anonymisation tools to disguise your location, operating multiple Profiles, or engaging in fraudulent activity.

Automated checks

We use automated systems to detect fraud and abuse and to apply our limits and controls, including velocity checks, device and network analysis, and identity and risk scoring. Some decisions, such as flagging or suspending a Profile, may be taken automatically. Where an automated decision significantly affects you, you may contact us to request human review. Further detail on how we process personal data, including any sharing with verification and analytics providers, is set out in our Privacy Policy.

Intellectual property

The Rewarble platform, the Service, and the Company’s own trademarks, logos, and content are owned by or licensed to the Company. You are granted only a limited, non-exclusive, revocable right to use the Service in accordance with these Terms, and you acquire no right to use the Company’s intellectual property for any other purpose. Brand names, trademarks, and logos of third parties that appear in the catalogue are the property of their respective owners and are shown for identification and reference purposes only. Their appearance does not imply any endorsement by, affiliation with, or sponsorship by those owners.

Privacy

Your privacy is important to us. The Company’s Privacy Policy, available on the Rewarble website, outlines how we collect, use, and protect your personal information.

Limitation of liability

To the maximum extent permitted by law, the Company and its partner banks shall not be liable for any damage or loss arising in connection with these Terms or the use of the Service, including any unauthorized use of a Reward Card, nor for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or for any loss of data, use, goodwill, or other intangible losses. Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

Warranty disclaimer

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the extent permitted by law.

Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your breach of these Terms or your misuse of the Service.

Force majeure

We will not be liable for any failure or delay in performing our obligations under these Terms due to events beyond our reasonable control, including acts of nature, war, terrorism, civil unrest, strikes, or failures of public utilities, payment partners, or communication networks.

Changes to the Service and to these Terms

We may change, suspend, or discontinue any part of the Service at any time. We may also modify these Terms. For material changes, we will give you reasonable notice by a method we consider appropriate, such as posting on the website or notifying you, before the changes take effect. Your continued use of the Service after the changes take effect signifies your acceptance. If you do not accept a change, you should stop using the Service and use any remaining Entitlement beforehand.

Assignment

We may assign or transfer these Terms (that is, the contract embodied in these Terms), in whole or in part. You may not assign your rights or obligations under these Terms without our prior written consent.

Taxes

You are responsible for determining and paying any taxes that apply to the Reward Options you acquire through the Service.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed by us in writing.

Entire agreement

These Terms, together with the Privacy Policy and any additional terms set by an issuing bank or payment partner, constitute the entire agreement between you and the Company regarding the use of the Service.

Dispute resolution and governing law

These Terms are governed by the laws of the Netherlands. Disputes arising under these Terms will be submitted to the exclusive jurisdiction of the Rechtbank Oost-Brabant.
